Update from Cellomics' CEO on Fisher Scientific International, Inc. Acquisition |

It is my pleasure to inform you that on August 3, 2005, Fisher Scientific International Inc. signed a definitive agreement to acquire Cellomics, Inc. We anticipate that the deal will close within the next few weeks. More information will be forthcoming after the close, however, let me provide you with a sense of what this means for our customers and for Cellomics' employees. A key element of the Cellomics' value proposition is our ability to develop, deliver and support a total solution for High Content Screening (HCS) and High Content Analysis (HCA). Validated reagents remain the largest unmet need to drive the expansion of HCS/HCA into much broader applications. Cellomics will be part of the Fisher Biosciences unit of Fisher Scientific International which includes brands that sell reagents including Pierce, Endogen, Dharmacon, and HyClone. Cellomics, as part of the Fisher Biosciences Group, will offer expanded and improved reagents and assays, plus improved customer service and support to all of our customers. Another benefit of the acquisition is improved access to academic, biotech, and pharmaceutical accounts worldwide via Fisher Scientific's vast distribution network. A final important aspect of the transaction is a continued relationship between Fisher and Carl Zeiss to collaborate in the areas of HCS and HCA.
Cellomics will continue to drive its mission from our worldwide headquarters in Pittsburgh. The Cellomics brand will also remain. I encourage you to continue to interact with Cellomics as you normally would. We anticipate no substantive changes in our workforce, which will translate to a transparent transition to new ownership.
